Terms & Conditions.

These terms apply to all business relationships of Semicore with customers who are entrepreneurs within the meaning of the UGB. Deviating customer terms apply only with express written consent.

Offers are non-binding unless expressly designated as binding. Binding offers are valid for 30 days. Orders are accepted only upon written order confirmation.

Prices in EUR net, EXW Villach (Incoterms 2020), payable within 30 days of the invoice date without deduction. A down payment may be required for first orders, bespoke items or orders exceeding EUR 50,000.

Delivery dates are non-binding unless expressly agreed as binding. Risk passes to the customer upon provision ex works Villach (EXW Incoterms 2020).

Delivered goods remain the property of Semicore until all claims have been paid in full.

Warranty period 12 months from transfer of risk. In the event of a justified defect notice, Semicore chooses between repair and replacement. No warranty in case of improper handling or use outside the process specification.

Semicore is liable under statutory provisions for intent and gross negligence as well as for personal injury. Otherwise, liability — in particular for indirect damages and lost profit — is excluded and limited to the order value.

Both parties keep all non-public information confidential for 5 years after the contract ends. Deliveries may be subject to EU, Austrian or US export control.

Place of performance 9500 Villach. Place of jurisdiction is the competent court in Villach. Austrian law applies exclusively, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
